Bằng việc truy cập, sử dụng website/ứng dụng, và/hoặc thanh toán Phí Dịch Vụ, Người Bán cam kết và xác nhận rằng Người Bán đã đọc, hiểu, và đồng ý với toàn bộ nội dung dưới đây (“Điều Khoản Và Điều Kiện”).
By accessing or using the website/application, and/or by paying the Service Fee, the Seller acknowledges and confirms that the Seller has read, understands, and agrees to all of the provisions below (“Terms and Conditions”).
Gói Giải Pháp Hiển Thị Tổng Thể được dành riêng cho Người Bán tại sàn giao dịch thương mại điện tử Shopee (“SGD-TMĐT Shopee”) mua Gói Giải Pháp Hiển Thị Tổng Thể (“Gói”).
The Comprehensive Package is reserved for Sellers on the Shopee E‑Commerce Trading platform (“Shopee E‑commerce Trading Platform”) who purchase the Comprehensive Package (the “Package”).
Trong thời gian sử dụng Gói, Người Bán mua Gói sẽ được hưởng các quyền lợi tương ứng thể hiện tại trang Kênh Người Bán khi Người Bán thực hiện thanh toán.
During the term of using Package, the Seller who purchases the Package shall receive the applicable benefits as specified on the Seller Centre page when the Seller makes payment.
Gói chỉ dành cho Người Bán đáp ứng được các tiêu chí sau:
The Package is available only to Sellers who meet the following criteria:
Are consulted, introduced, and managed by a Shopee category specialist;
Chỉ áp dụng cho các Người Bán thuộc đối tượng được đề cập tại tên gọi của Gói;
Fall within the Seller group referred to in the Package name;
Có điểm sao quả tạ nhỏ hơn 3 và không vi phạm quy định đăng bán của Shopee tại: http://bit.ly/QDDBShopee; và
Have a Dumbbells score below 3 and do not violate Shopee’s listing rules at: http://bit.ly/QDDBShopee; and
Đáp ứng được các tiêu chí khác được nêu tại Điều Khoản Và Điều Kiện này.
Meet any other criteria set forth in these Terms and Conditions.
3. Cách Thức Tham Gia/How to Participate
Người Bán thuộc Đối Tượng Tham Gia sử dụng tài khoản được hỗ trợ trực tiếp từ chuyên viên ngành hàng Shopee để mua Gói.
Sellers who meet the Eligible Participants criteria shall use the account that is directly supported by the Shopee’ RM to purchase the Package.
Người Bán thanh toán Phí Dịch Vụ được nêu tại Mục 4.
The Seller shall pay the Service Fee specified in Section 4.
Người Bán liên hệ chuyên viên ngành hàng Shopee để được hỗ trợ thực hiện các quyền lợi sau khi thanh toán thành công.
The Seller shall contact the Shopee’RM for assistance in exercising the benefits after successful payment.
4. Phí Dịch Vụ/Service fee
Chi phí cho Gói được thể hiện tại trang Kênh Người Bán mà Người Bán thanh toán đã bao gồm thuế GTGT. (Thuế suất thuế GTGT được áp dụng tương ứng với quy định của pháp luật hiện hành tại thời điểm thanh toán Phí dịch vụ).
The fee for the Package is shown on the Seller Centre page and paid by the Seller; such fee includes value added tax (VAT). (The applicable VAT rate shall correspond to the rate under applicable law at the time the Service Fee is paid.).
5. Thanh Toán/Payment
Người Bán chọn hình thức thanh toán phù hợp với quy định pháp luật hiện hành. Cụ thể, Người Bán được quyền lựa chọn một trong các hình thức thanh toán không tiền mặt như sau, (i) cấn trừ vào Số dư tài khoản Shopee của Người Bán, (ii) Thanh toán qua đối tác trung gian thanh toán theo chỉ định của Shopee qua các kênh như Chuyển khoản vào tài khoản được chỉ định bởi Shopee, Thẻ ngân hàng (bao gồm thẻ tín dụng/ thẻ ghi nợ và thẻ ATM nội địa), Ví điện tử ShopeePay, hoặc (iii) các hình thức khác được yêu cầu cụ thể bằng văn bản bởi Shopee vào từng thời điểm.
The Seller shall select a payment method in accordance with applicable law. Specifically, the Seller may choose one of the following cashless payment methods: (i) deduction from the Seller’s Shopee account balance; (ii) payment via Shopee’s designated payment partners/ through channels such as transfer to an account designated by Shopee, bank cards (including credit/debit cards and domestic ATM cards), ShopeePay e‑wallet; or (iii) other payment methods specifically authorised by Shopee in writing from time to time.
Phí Dịch Vụ đã được Người Bán thanh toán cho Shopee một cách hợp lệ sẽ không được hoàn lại trong bất kỳ trường hợp nào, bao gồm nhưng không giới hạn trường hợp không cung cấp Gói và/hoặc chấm dứt việc cung cấp dịch vụ trước thời hạn.
The Service Fee paid by the Seller to Shopee will not be refunded in any case, including but not limited to the case of failure to provide the E-Commerce Package and/or the provision of services is terminated early.
Trong trường hợp Người Bán không đáp ứng tiêu chí được nêu tại Mục 2. Đối Tượng Tham Gia, nhưng Người Bán thanh toán Phí Dịch Vụ; chi phí này sẽ được hoàn trả cho Người Bán mà không có bất kỳ khoản lãi nào, và trong trường hợp việc hoàn tiền này bị tính phí bởi bên thực hiện dịch vụ hoàn tiền (chẳng hạn như ngân hàng), Người Bán phải chịu phí của việc hoàn tiền đó. Về hình thức hoàn tiền:
Trường hợp Phí Dịch Vụ được Người Bán thanh toán qua thẻ tín dụng, chi phí sẽ được hoàn về chính thẻ tín dụng đã thực hiện thanh toán;
Trường hợp Phí Dịch Vụ được Người Bán thanh toán qua hình thức thanh toán khác, chi phí sẽ được hoàn về Số Dư TK Shopee hoặc ShopeePay (Tùy theo quyết định của Shopee).
Người Bán sẽ nhận được tiền hoàn trong vòng ba mươi (30) ngày làm việc kể từ ngày nhận được thông báo hủy đơn do không đủ điều kiện tham tham gia Gói.
Nếu có tranh chấp phát sinh liên quan đến chương trình, quyền quyết định cuối cùng thuộc về Shopee.
If any dispute arises relating to the program, Shopee’s decision shall be final.

If the Seller requests a VAT invoice, please refer to the guidance here.
The Seller must meet the following sales performance conditions (data is taken from the thirty (30) calendar day period immediately prior to the time Shopee provides the Package to the Seller):
“Tỉ lệ đơn hàng không thành công” < 5% (nhỏ hơn năm phần trăm) trên tổng số đơn hàng của Người Bán ở SGD-TMĐT Shopee;
“Ratio of unsuccessful order” < 5% (smaller than five percent) over the total orders of the Seller on Shopee E-Commerce Trading Platform.
“Tỉ lệ giao hàng trễ cho đơn vị vận chuyển” < 5% (nhỏ hơn năm phần trăm) trên tổng số đơn hàng của Người Bán ở SGD-TMĐT Shopee;
“Ratio of late delivery to delivery partners” < 5% (smaller than five percent) over the total orders of the Seller on Shopee E-Commerce Trading Platform.
“Đánh giá shop” dành cho Người Bán ở SGD-TMĐT Shopee >=4 sao (lớn hơn hoặc bằng bốn sao);
“Rating shop” of the Seller on Shopee E-Commerce Trading Platform >= 4 stars (higher or equal to four stars).
“Tỉ lệ hàng đặt trước” < 20% (nhỏ hơn hai mươi phần trăm) trên tổng số sản phẩm đăng bán của Người Bán ở SGD-TMĐT Shopee;
“Ratio of pre-order” < 20% (smaller than twenty percent) over the total products posted for sale by Seller on Shopee E-Commerce Trading Platform.
Thời điểm Shopee cung cấp dịch vụ cho Người Bán không nằm trong thời hạn Người Bán bị áp dụng một hoặc nhiều hình thức phạt của Hệ Thống Sao Quả Tạ của Shopee; và
When Shopee provides service to the Seller, the Seller is not under the term of being imposed penalty of Dumbbells System of Shopee; and
Người Bán không bị khóa tài khoản trong 30 ngày lịch liên tục trước thời điểm Shopee cung cấp Gói cho Người Bán.
The Seller account has not been blocked within 30 consecutive calendar days before Shopee provides packages to the Seller.
6.1.2. Người Bán phải thanh toán Phí Dịch Vụ cho Shopee đúng thời hạn.
The Seller must pay the Service Fee to Shopee on time.
6.1.3. Các hàng hóa/dịch vụ được đăng bán ở SGD-TMĐT Shopee phải tuân thủ các quy định pháp luật có liên quan, Điều khoản Dịch Vụ, Tiêu Chuẩn Cộng Đồng và Chính sách Cấm/Hạn chế Sản Phẩm. Người Bán hiểu và đồng ý rằng Shopee có quyền lập tức phong tỏa hoặc xử lý bất kỳ Người Bán nào vi phạm bất kỳ quy định nào trong Điều Khoản Và Điều Kiện này, Điều Khoản Dịch Vụ, Tiêu Chuẩn Cộng Đồng và Chính sách Cấm/Hạn chế Sản Phẩm và bất kỳ khoản Phí Dịch Vụ nào đã thanh toán sẽ không được hoàn lại. Shopee cũng sẽ không có nghĩa vụ bồi thường bất kỳ thiệt hại nào liên quan đến các tài khoản của Người Bán ở SGD-TMĐT Shopee bị phong tỏa hoặc bị xử lý theo các chính sách của Shopee.
Products listed for sale on Shopee E-Commerce Platform have to comply with relevant laws, Terms of Service, Community Standards and Product Restriction Policies. The Seller herein understands and agrees that Shopee reverse the right to immediately block any Seller who violates any provisions of this Terms and Conditions, the Terms of service, Community Standards and Product Restriction Policies, and The Service Fee paid by Partner to Shopee shall not be refunded in any case. Shopee shall also not be obligated to compensate for any damages related to the Partner's accounts at the Shopee E-Commerce Platform that are blocked or handled in accordance with Shopee's Policies.
6.1.4. Người Bán cam kết và đồng ý bảo vệ, bồi thường, bồi hoàn và giữ cho Shopee, chi nhánh, các công ty liên kết của Shopee không bị tổn hại bởi bất kỳ khiếu kiện, tổn thất, thiệt hại, phán quyết của bất kỳ cơ quan tổ chức có thẩm quyền nào bao gồm, nhưng không giới hạn, phán quyết của tòa án hoặc các tổ chức trọng tài, các quyết định của cơ quan nhà nước có thẩm quyền, cũng như các phí tổn, bao gồm nhưng không giới hạn phí luật sư, chi phí tố tụng, tiền bồi thường thiệt hại, lãi trả chậm phát sinh từ hoặc liên quan tới bất kỳ vấn đề nào sau đây:
The Seller commit and agree to defend, compensate, indemnify or retain Shopee, its branches, and its affiliates from any and all legal actions, losses, damages, awards of any competent entity/state body including, but not limited to, court or arbitral awards, decisions of competent state bodies, as well as other expenses including but not limited to legal fees, litigation expenses, compensation, late payment arising from or relating to any of the following:
Người Bán đảm bảo tính hợp pháp và quyền sở hữu trí tuệ đối với các thông tin, thương hiệu, nhãn hiệu và các tài sản sở hữu trí tuệ khác mà Người Bán cung cấp cho Shopee trong phạm vi Gói.
The Seller warrants the legality and ownership of intellectual property rights in the information, brands, trademarks and other intellectual property assets provided by the Seller to Shopee within the scope of the Package.
Người Bán xác nhận chấp thuận cho Shopee được phép sử dụng tất cả các hình ảnh, biểu tượng liên quan đến, bao gồm nhưng không giới hạn, tên thương mại, nhãn hiệu, logo của Người Bán hoặc được ủy nhiệm hợp pháp cho Người Bán trong phạm vi Gói.
The Seller confirms and consents to Shopee’s use of all images and symbols related to, including but not limited to, the Seller’s trade name, trademark and logo, or those for which the Seller is lawfully authorised, within the scope of the Package.
Thông tin do Người Bán cung cấp cho Shopee để thực hiện dịch vụ theo Điều Khoản Và Điều Kiện này hoặc sản phẩm/dịch vụ của Người Bán được Shopee cung cấp dịch vụ theo Điều Khoản Và Điều Kiện này.
Information provided by the Seller to Shopee for the purpose of performing services under these Terms and Conditions or the Seller’s products/services upon which Shopee provides services under these Terms and Conditions
6.1.5. Người Bán có trách nhiệm cung cấp thông tin đầy đủ và chính xác cho việc thiết kế banner cũng như các tài liệu hoặc thiết kế, hình ảnh khác có liên quan đến dịch vụ theo Điều Khoản Và Điều Kiện này theo yêu cầu của Shopee. Shopee được quyền từ chối hiển thị hoặc từ chối sử dụng các nội dung thông tin, hình ảnh do Người Bán cung cấp trong trường hợp Shopee cho rằng các nội dung thông tin, hình ảnh này trái pháp luật hoặc không phù hợp với chính sách của Shopee.
The Seller is responsible for providing information, data as well as any material or design, image related to the services under these Terms and Conditions in a timely and accurate manner as required by Shopee for performance of the services. Shopee shall have the right to refuse to provide services, or refuse to use any content, information, data or material, design, image provided by the Seller in the event that such content, information, data or material, design, image is deemed to be illegal or not in line with Shopee’s policies.
Undertake that all its online advertising, promotion, or marketing activities that are linked with, or directs traffic to, the website or mobile app of the Shopee E-Commerce Platform shall:
Phải áp dụng Loại trừ từ khóa phủ định những từ khóa nằm trong danh sách từ khóa phủ định do Shopee cung cấp. Người Bán có nghĩa vụ thu thập danh sách từ khóa phủ định từ Shopee để áp dụng trước khi Người Bán quảng cáo, quảng bá, và truyền thông trực tuyến có liên kết hoặc dẫn truy cập về website hoặc ứng dụng di động của SGD-TMĐT Shopee.
Apply Negative keywords, which includes keywords from a list of negative keywords provided by Shopee. The Seller is obliged to collect a list of negative keywords from Shopee to apply before the Seller conducts its online advertising, promotion, or marketing activities that are linked with, or directs traffic to the Shopee Platform.
Sàng lọc và không để nội dung quảng cáo, quảng bá, và truyền thông trực tuyến của Người Bán được hiển thị ở các website và ứng dụng di động có chứa nội dung không phù hợp thuần phong mỹ tục hoặc pháp luật Việt Nam.
Screen and ensure the Seller’s online advertising contents, promotion contents, and marketing contents will not be shown on websites and mobile apps containing contents that are not in line with Vietnamese laws or local culture/social norms.
Không hiển thị quảng cáo về, hoặc có chứa nội dung hoặc hình ảnh liên quan đến, SGD-TMĐT Shopee trên những video, hình ảnh, chủ đề, hoặc nội dung có nội dung liên quan đến chính trị, nhạy cảm, hoặc không phù hợp thuần phong mỹ tục và pháp luật Việt Nam. Người Bán có nghĩa vụ thu thập danh sách website hoặc ứng dụng hoặc tên miền không phù hợp từ Shopee để loại trừ trước khi Người Bán quảng cáo, quảng bá, và truyền thông trực tuyến có liên kết hoặc dẫn truy cập về website hoặc ứng dụng di động của SGD-TMĐT Shopee.
Will not display advertising on, or contain contents or images related to, the Shopee Platform on videos, photos, subjects, or contents related to politics, sensitive subjects, or not in line with Vietnamese laws or local culture/social norms. Partner is obliged to obtain from Shopee the list of inappropriate website(s) or mobile application(s) or web domain(s) for exclusion before Partner conducts its online advertising, promotion, or marketing activities that are linked with, or directs traffic to, the Shopee Platform.
The Seller shall duly perform other obligations and commitments in this Contract.
Người Bán, người đại diện, nhân viên, đối tác liên kết của Người Bán cam kết giữ bí mật tất cả những thông tin và tài liệu về Điều Khoản Và Điều Kiện này hoặc có liên quan đến Điều Khoản Và Điều Kiện này (“Thông Tin Mật”) trừ trường hợp việc tiết lộ Thông Tin Mật được Shopee đồng ý bằng văn bản hoặc việc tiết lộ thông tin là bắt buộc theo quy định của pháp luật.
Each Party herein together with its representatives, staff and affiliates undertake and commit to keep confidential all information and documents in relation to this Terms and Conditions (“Confidential Information”) unless the disclosure of such Confidential Information is approved by Shopee in writing or is compulsory in compliance with the laws.
6.3. Sự Kiện Miễn Trừ Trách Nhiệm/Liability exclusion events
Shopee shall not be liable if the package is not completed due to one of the following cases:
Người Bán không muốn tiếp tục Gói;
The Seller decides not to continue the package;
Thông tin/tài liệu do Người Bán cung cấp không trung thực, không chính xác, hoặc không hợp pháp;
The information and documents provided by the Seller are not true, correct or legal;
Người Bán không đáp ứng được toàn bộ các điều kiện được nêu tại Điều Khoản Và Điều Kiện.
The Seller fails to satisfy all conditions set forth in these Terms and Conditions;
Người Bán không cung cấp hoặc cung cấp không đầy đủ cho Shopee các thông tin, tài liệu, thiết kế, hình ảnh cần thiết trong thời hạn mà Shopee yêu cầu để được hưởng các quyền lợi theo Điều Khoản Và Điều Kiện này.
The Seller fails to provide Shopee with the necessary information, data, material, design, image within the time limit requested by Shopee in order to enjoy the benefits under this Terms and Conditions;
Người Bán bị phá sản hoặc giải thể theo quy định của pháp luật;
The Seller is bankrupt or dissolved in accordance with laws;
Cơ quan nhà nước có thẩm quyền thay đổi chính sách hoặc giải thích quy định pháp luật vào thời điểm thực hiện Gói hoặc các trường hợp tương tự làm cho Shopee không thể tiếp tục thực hiện Gói theo quy định tại Điều Khoản Và Điều Kiện.
Any policy or law interpretation of competent government authority at the time of implementing the package is changed or otherwise amended or replaced so that Shopee is unable to implement the package in accordance with the Terms and Conditions.
If any case mentioned in Article 6.1 above occurs, the Seller is still entitled to the paid Service Fee and other incurred factual cost.
Shopee shall not be liable to the Seller or be deemed to be in breach of this Terms and Conditions by reason of any delay in performing or any failure to perform any of Shopee’s obligations herein if the delay or failure was due to any events or cause beyond Shopee’s reasonable control (“Force Majeure”). Without prejudice to the generality of the foregoing, each of the following shall be regarded Force Majeure:
Thiên tai, cháy nổ, lũ lụt, bão, hỏa hoạn hoặc tai nạn;
Act of God, explosion, flood, tempest, fire or accident;
Chiến tranh hoặc nguy cơ chiến tranh, hành vi phá hoại, nổi loạn, nội chiến hoặc việc trưng dụng của nhà nước, hành vi khủng bố hoặc bất ổn dân sự;
War or threat of war, sabotage, insurrection, civil disturbance or requisition, act of terrorism or civil unrest;
Các hành vi, các hạn chế, quy định, văn bản dưới luật, các quy định cấm hoặc các biện pháp được ban hành hoặc thực hiện bởi bất kỳ cơ quan chính phủ hay chính quyền địa phương;
Acts, restrictions, regulations, by-laws, prohibitions or measures of any kind on the part of any governmental, parliamentary or local authority;
Đình công, bãi công hoặc các sự kiện tương tự khác hoặc các tranh chấp thương mại (dù cho có hoặc không có sự tham gia của người lao động của Shopee hoặc của bên thứ ba khác hay không);
Strikes, lock-outs or other industrial actions or trade disputes (whether involving employees of Shopee or of a third party);
Các dịch bệnh được công bố bởi Tổ chức Y tế Thế giới (WHO); và/hoặc
Health epidemics declared by the World Health Organization (WHO); and/or
Mất điện hoặc sự cố về máy móc.
Power failure or breakdown in machinery.
“Shopee Policies” means the Terms and Conditions posted on the Shopee E‑commerce Trading Platform website or mobile application, including but not limited to the Terms of Service, Privacy Policy, Prohibited/Restricted Goods policies, return and refund policies, and other terms, policies, rules, regulations and procedures.
The Seller acknowledges and agrees that (i) Shopee Policies form an integral part of these Terms and Conditions or constitute part of these Terms and Conditions; and (ii) Shopee Policies may be amended and/or updated from time to time and the Seller’s continued use of the E‑commerce Trading Platform shall be deemed acceptance of such amendments and updates. In the event of any inconsistency between the latest version of Shopee Policies and these Terms and Conditions, the latest version of Shopee Policies shall prevail.
